Řezníček & Co. specialises in commercial law, covering both corporate matters and the law of obligations. Our corporate work includes, in particular, the incorporation of companies, acquisitions involving transfers of ownership interests and shares, legal due diligence, feasibility studies, the organisation and conduct of general meetings, the protection of majority and minority shareholders, and increases or reductions of share capital.

We provide complete legal support for the creation, amendment and termination of contractual relationships: drafting bespoke contract documentation, reviewing submitted drafts and assisting in commercial negotiations, including structuring security instruments and preparing general terms and conditions that reflect the specifics of the client's business.

In contentious matters we provide a complete service, from the initial risk analysis and pre-action negotiation through to full litigation, with the aim of maximising the client's success in the proceedings — whether in disputes over performance or damages, the protection of personality rights, or disputes arising from unfair competition and the infringement of intellectual property.

Our law firm provides its clients with legal advice in connection with the drafting of employment contracts, changes and termination of employment, including adjustments to the prohibition of competition, the assignment of employees to work for another employer, the drafting of internal directives and working rules governing the rights and obligations of employers and employees, as well as the rights of trade unions, including the creation of statutes and their registration.

A separate chapter is the representation of legitimate interests of our clients in labor disputes.

In family law we deal mainly with divorce proceedings and the settlement of relations between former and current spouses, including ways of arranging matters during the marriage (narrowing or extending community property (SJM), arrangements for minor children, and similar matters).

In real estate law we provide: comprehensive contract documentation for the purchase and sale of property; resolution of matters arising under the rules on housing cooperatives and unit-owners' associations; dealings with the Land Registry; representation in zoning and construction proceedings; leases and subleases of commercial and other premises or entire properties; enforcement of creditors' rights over mortgaged property; and advisory services for development projects (reservation agreements, loan agreements, pledge agreements and easement agreements).

In civil law we advise on everyday matters as well as complex property transactions. Our services include reviewing contract documentation, resolving co-ownership, easements and pledges, and pursuing claims arising from defective performance.

This area includes a common internal agenda focusing on the specifics of health care, legal relations with health insurance companies of the Czech Republic and representation of non-state medical institutions.
